Corporate Tax: How the 0% Rate Actually Works

A Fujairah free zone company is still a UAE taxable person under Federal Decree-Law No. 47 of 2022. The 0% rate is not automatic, it applies only to a company that qualifies as a Qualifying Free Zone Person (QFZP) and only on its Qualifying Income. Everything else is taxed at the standard 9% rate above AED 375,000.

The current rules on this come from two decisions published by the Ministry of Finance on 3 November 2023, both retroactively effective from 1 June 2023:

  • Cabinet Decision No. 100 of 2023 sets out how Qualifying Income is determined, including the treatment of transactions with other free zone persons and non-free zone persons.
  • Ministerial Decision No. 265 of 2023 lists the specific Qualifying Activities (including distribution of goods from a Designated Zone, which is directly relevant to FFZA’s port-based trading businesses) and Excluded Activities that automatically fall outside the 0% rate, mainly transactions with natural persons (individual consumers), except for a narrow set of listed exceptions.

The de minimis rule: a QFZP can still earn some non-qualifying revenue without losing its 0% status on the rest, as long as that non-qualifying revenue does not exceed 5% of total revenue or AED 5,000,000, whichever is lower, in that tax period. Cross this threshold and the company loses QFZP status for that period and the following four tax periods.

One important limitation: a Qualifying Free Zone Person does not get the ordinary 0% relief on the first AED 375,000 of non-qualifying taxable income that mainland and non-QFZP companies get. Once income is non-qualifying for a QFZP, it is taxed at 9% from the first dirham.

Small Business Relief lets an eligible taxable person with revenue up to AED 3,000,000 in a tax period elect to be treated as having no taxable income, avoiding corporate tax registration compliance and calculation entirely.
