Who Must File Corporate Tax in UAE?

Under Federal Decree-Law No. 47 of 2022, every person conducting business in the UAE must register for and file corporate tax with the Federal Tax Authority (FTA). This includes:

  • Mainland companies — LLC, sole establishment, civil company
  • Free zone companies — IFZA, DMCC, Meydan, JAFZA, RAKEZ, all others
  • Freelancers and sole proprietors
  • Inactive or dormant companies with an active trade license
  • Visa-only trade license holders — even if you never traded
  • Zero-revenue businesses — you must file a nil return

Penalties for non-compliance:

  • AED 10,000 — late corporate tax registration
  • AED 500/month — late filing (first 12 months)
  • AED 1,000/month — late filing (after 12 months, no cap)

FTA Penalty Waiver — Save AED 10,000 Before July 2026

The UAE Cabinet has approved a penalty waiver initiative for late corporate tax registration. If you file your tax return before July 31, 2026:

  • The AED 10,000 late registration penalty is waived automatically
  • If you already paid, the amount is credited back to your EmaraTax account
  • Applies to all businesses — whether you registered late or haven’t registered at all

This is a limited-time government initiative. After July 31, 2026, the penalty becomes permanent with no relief.

Corporate Tax FAQ

Is corporate tax filing mandatory for all UAE businesses?

Yes. Every entity with a UAE trade license must register for and file corporate tax — mainland, free zone, and offshore. This applies regardless of revenue, profit, or business activity level. Even businesses with zero income must file a nil return.

I got my trade license only for a visa. Do I still need to file?

Yes. The FTA does not distinguish between active businesses and visa-only license holders. If the trade license was active during any part of the tax period, you must file a corporate tax return.

What is the AED 10,000 FTA penalty waiver?

The UAE Cabinet approved an initiative to waive the AED 10,000 late corporate tax registration penalty. If you file your tax return within 7 months of the end of your first tax period (July 31, 2026 for most businesses), the penalty is automatically removed. If already paid, the amount is credited to your EmaraTax account.

What is the difference between the July and September deadlines?

Filing before July 31, 2026 qualifies you for the AED 10,000 penalty waiver. September 30, 2026 is the final filing deadline — filing after September triggers AED 500/month late filing penalties. Smart move: file before July to get both benefits.

What is Small Business Relief?

If your revenue is under AED 3 million, you may elect for Small Business Relief (SBR) under Ministerial Decision No. 73 of 2023. Your taxable income is treated as zero — no tax payable. You still must file, but the process is simpler. SBR must be actively elected on each return.

What documents do I need for corporate tax filing?

At minimum: trade license, Emirates ID, and bank statements for the tax period. For full filing: revenue and expense records, invoices, and contracts. If your records aren’t organized, we help you prepare everything.

Do free zone companies need to file corporate tax?

Yes. Free zone companies must register and file. Qualifying Free Zone Person (QFZP) status may give a 0% rate on qualifying income, but the filing obligation remains mandatory. QFZP is claimed on the return, not at registration.
