Dubai Healthcare City (DHCC) is the free zone built for healthcare, and it is often the first place founders look when they want to open a clinic, a diagnostic centre or a healthcare services company in Dubai. The setup itself is well organised and fully online. The part that surprises most owners comes later: being in a free zone does not automatically mean a 0% corporate tax rate. This guide explains how a DHCC company is formed, who regulates it, what licence you need, and how corporate tax actually applies to a healthcare business.

Quick Answer: How Do You Set Up a Company in DHCC?

You apply online through the MASAAR e-services portal, choose a legal form (Free Zone LLC or a branch), get provisional approval, deposit capital for an FZ-LLC, and receive the commercial licence. DHCC’s own setup page describes a three-step online registration and says that, because it is a free zone, you wholly own your business whether it is clinical or non-clinical.

Key facts at a glance:

  • Ownership: 100% ownership is stated on the official DHCC setup page.
  • Legal forms: Free Zone Limited Liability Company (FZ-LLC), branch of a foreign company, or branch of a UAE company or establishment.
  • Two types of business: clinical (treats or diagnoses patients) and non-clinical (healthcare support, technology, education, wellness and similar).
  • Two layers of approval for clinical work: a commercial licence for the company, then a regulatory licence for the facility and for each practitioner.
  • Corporate tax: DHCC companies must register for corporate tax. Qualifying Free Zone Person (QFZP) status is not automatic and most patient-facing income does not qualify for 0%.

What Is Dubai Healthcare City?

Dubai Healthcare City is a free zone dedicated to healthcare, medical education and wellness. DHCC’s website states that the zone is governed by the Dubai Healthcare City Authority (DHCA), which provides the ecosystem for business set-up. Its Registry of Companies handles the establishment and registration of companies in the zone.

Healthcare facilities and professionals inside the zone are regulated by DHCC’s own regulatory arm, DHCR (Dubai Healthcare City Authority – Regulatory). This is the point many founders get wrong. A clinic inside DHCC is licensed and supervised through DHCC’s regulator, not through the Dubai Health Authority (DHA) licensing that applies to healthcare facilities on the Dubai mainland. If you want to treat patients inside the zone, plan for DHCC and DHCR. If you want a clinic on the mainland, that is a separate process under the mainland health authority. Our guide to mainland vs free zone setup in Dubai explains how that choice changes where you can trade.

All applications, renewals, facility licences and professional licences run through MASAAR, the zone’s online services system. DHCC describes it as an interactive online system through which services are provided to the free zone community.

Clinical vs Non-Clinical: Which Licence Do You Need?

The question that decides your whole setup is whether you diagnose, treat or dispense to patients. If yes, you are a clinical business. If you support healthcare without treating patients, you are non-clinical.

Clinical Non-clinical
What it covers Clinics, hospitals, diagnostic centres, laboratories, pharmacies Healthcare consultancy, health technology, training and education, wellness and support services
Commercial licence from DHCA Yes Yes
Facility licence from DHCR Yes, after a pre-operational assessment Generally not needed for the company itself
Practitioner licences Every healthcare professional must be licensed by DHCR Only if practitioners are employed
Minimum capital for FZ-LLC (DHCC FAQ) AED 300,000 AED 50,000

The capital figures above come from DHCC’s FAQ and handbook material. DHCC’s newer Rule No. 1 on permitted activities and licensing categories sets capital by segment in a share capital list, so confirm the exact figure for your activity on MASAAR before you plan your budget.

DHCC’s setup page also confirms two important limits. A pre-operational assessment is a prerequisite to obtain a clinical operating licence, and a provisional approval does not allow you to operate. A facility cannot treat a single patient or open its doors until the operating licence is issued.

Legal Forms Available in DHCC

DHCC’s handbook lists three structures.

1. Free Zone LLC (FZ-LLC)

This is the most common structure. It needs at least one shareholder and at least one director, and a manager must be appointed. The manager’s name appears on the commercial licence. An FZ-LLC receives a Memorandum of Association, Articles of Association and an Incorporation Certificate. Share capital is deposited when the company is formed; DHCC’s material says the funds stay unavailable while the company is “under formation”.

2. Branch of a foreign company

A foreign healthcare group can extend into Dubai without creating a separate legal entity. The branch must be fully owned by the parent company, and the handbook states no minimum capital is required for a branch. A branch receives only the commercial licence, not the incorporation documents an FZ-LLC receives. For the mainland equivalent, see our guide to foreign company branch registration in Dubai.

3. Branch of a UAE company or establishment

A UAE company licensed elsewhere in the country can open a branch in DHCC to operate in the free zone, subject to DHCC approval.

Which should you choose? A new founder usually prefers an FZ-LLC because it is a separate legal entity with its own liability. An existing foreign group often prefers a branch for speed and simplicity. Converting a branch into an FZ-LLC later is treated as forming a new company, so choose carefully at the start.

Step-by-Step: The DHCC Registration Process

DHCC describes the process as a three-step online registration through MASAAR. The handbook breaks the same journey into the following practical stages.

  1. Reserve a facility. A lease reservation letter is needed to proceed with the application, since a DHCC licence is tied to physical premises in the zone.
  2. Submit the application and documents on MASAAR. DHCC asks for the passport and CV of shareholders, directors and managers, together with a business plan.
  3. Receive provisional approval. After review, a system-generated Provisional Approval Letter is issued through MASAAR. The handbook states it is valid for one year for clinical and non-clinical businesses and can be extended for a fee.
  4. Deposit the share capital (FZ-LLC). Once the capital is deposited, the commercial licence is issued automatically. A refund request for the deposited capital can be made through MASAAR after registration is complete.
  5. Submit facility design (clinical). The handbook says the business partner submits a design package for the facility, and for clinical facilities the professional licensing process starts after that.
  6. Pass the pre-operational assessment and obtain the operating licence. This is the final gate before you can see patients.
  7. Get practitioner licences. Every healthcare professional working in the zone must hold a licence from DHCC’s regulatory arm.

A commercial licence is valid for one year and renews annually. Operations must not start until all permits and licences are in place.

Documents You Should Prepare

DHCC’s setup page confirms the passport and CV requirement and a business plan. In practice you should also prepare:

  • Passport copies for all shareholders, directors and the manager
  • CVs showing relevant healthcare or business experience
  • A business plan describing the services, the target patients or clients, and the premises
  • Proof of the lease reservation for the DHCC premises
  • For a branch: the parent company’s constitutional documents and a board resolution, usually attested for use in the UAE. The attestation steps are explained in Yalah Dubai’s guide to certificate attestation for the UAE.
  • For clinical businesses: professional qualifications and licences for the lead clinicians

Documents not in English or Arabic generally need legal translation. Always check the live MASAAR checklist for your exact activity, because requirements differ by segment.

Visas and Residency for Healthcare Founders

DHCC’s website states that specialists in medical, scientific, research and technical fields can apply for 10-year residency visas. Eligibility depends on the individual’s profile and the current rules, so treat this as an option to check with DHCC, not a guarantee. Standard employee and investor visas for DHCC companies are processed through the zone. For doctors, nurses and allied health workers, see Yalah Dubai’s guide to the Golden Visa for doctors and nurses.

Corporate Tax in DHCC: The Part Founders Often Miss

Short answer: registering in DHCC does not make your income tax-free. Under Article 18 of Federal Decree-Law No. 47 of 2022, the 0% rate is available only to a Qualifying Free Zone Person, and only on its Qualifying Income. Everything else is taxed under the normal rules.

What the free zone rules say

A QFZP earns 0% on Qualifying Income and 9% on other income. Qualifying Income comes from specific Qualifying Activities, listed in the Ministry of Finance decision on qualifying and excluded activities. Our page on the QFZP qualifying income list sets out the full list and notes that Ministerial Decision No. 229 of 2025 replaced Ministerial Decision No. 265 of 2023, applied from 1 June 2023.

The list includes manufacturing, processing, holding shares, fund management, headquarter services to related parties, logistics and distribution from a Designated Zone. Operating a clinic or providing medical treatment is not on the qualifying list.

Why patient income is a problem

The Excluded Activities include transactions with natural persons, with limited exceptions. A clinic’s main customers are patients, who are individuals. That income is not Qualifying Income. Our guide to free zone excluded activities explains this in more detail.

The de minimis rule

A QFZP may earn some non-qualifying revenue without losing its status, but only up to the de minimis limit: non-qualifying revenue must not exceed 5% of total revenue or AED 5,000,000, whichever is lower. A patient-facing clinic will normally exceed that. If a QFZP fails the conditions, it loses QFZP status for that tax period and the following tax periods, and its income is taxed under the standard regime.

What this means in practice

Business type Typical income Likely corporate tax result
Clinic treating patients Fees from individuals Not Qualifying Income; standard rules apply
Healthcare software or consulting company Fees from businesses Only qualifying if the activity is on the qualifying list; otherwise standard rules
Healthcare holding company Dividends and gains from shares held for investment May qualify if the conditions are met
Group headquarter company Services to related parties May qualify if it meets the headquarter services definition

Under the standard rules, taxable income up to AED 375,000 is taxed at 0% and the excess at 9%. Each founder should model this before choosing DHCC, because the real benefit of the zone is the regulatory and ownership framework, not a tax holiday.

Do not assume 0%. Confirm your position with a tax adviser against the current Ministry of Finance decision and the Federal Tax Authority’s free zone guide before you price your services or tell investors about your tax rate.

Corporate tax obligations that apply either way

  • Registration: Free zone companies must register for corporate tax and obtain a Tax Registration Number. See our free zone corporate tax registration guide.
  • Return: An annual return must be filed on EmaraTax within nine months of the end of the tax period. See how to file a UAE corporate tax return.
  • Records and accounts: Audited financial statements may be required, depending on revenue and whether QFZP status is claimed.
  • Small Business Relief: A taxable person with revenue not above AED 3 million may elect relief for tax periods ending on or before 31 December 2026, but a QFZP cannot use it. Check eligibility before relying on it.

VAT is a separate matter. Some preventive and basic healthcare services are zero-rated and other medical services may be taxed at 5%, so the VAT treatment depends on the service you provide.

DHCC vs Other Options for a Healthcare Business

Option Where you can treat patients Ownership Regulator Corporate tax position
DHCC FZ-LLC or branch Inside DHCC 100% foreign ownership DHCA and DHCR Standard rules unless QFZP conditions are met
Dubai mainland clinic Across Dubai Check current mainland rules Dubai mainland health authority Standard rules
Other free zone Only in that zone, for activities it permits Usually 100% The zone’s own authority Depends on income

If your goal is general trading rather than healthcare, other zones may suit you better. Compare DMCC and DIFC setups, and our overview of mainland vs free zone tax.

Common Mistakes to Avoid

  1. Treating the commercial licence as permission to practise. A clinical business also needs the regulatory facility licence and practitioner licences.
  2. Assuming 0% tax. Patient income from individuals is not Qualifying Income.
  3. Ignoring the capital deposit. Plan for the FZ-LLC share capital before applying.
  4. Letting provisional approval lapse. The approval letter has a validity period; track it.
  5. Starting work early. DHCC states facilities are not entitled to operate until an operating licence is issued.
  6. Skipping corporate tax registration. Free zone companies must register even when they expect little taxable income.

Frequently Asked Questions

Can a foreigner own 100% of a company in Dubai Healthcare City?

Yes. DHCC states that under the free zone model you wholly own your business, whether it is a clinical or non-clinical operation.

What legal forms can I use in DHCC?

An FZ-LLC, a branch of a foreign company, or a branch of a UAE company or establishment with a licence to operate in the free zone.

Who regulates clinics in DHCC: DHCR or DHA?

DHCC’s own regulatory arm, DHCR, regulates facilities and professionals inside the zone. The DHA regulates healthcare facilities on the Dubai mainland.

What is MASAAR?

MASAAR is DHCC’s online services system for company registration, facility and professional licensing, renewals and other services.

What is the difference between clinical and non-clinical licences?

A clinical business diagnoses, treats or dispenses to patients and needs facility and practitioner licensing on top of the commercial licence. A non-clinical business supports healthcare without treating patients and needs the commercial licence.

How much capital does a DHCC FZ-LLC need?

DHCC’s FAQ states AED 300,000 for clinical and AED 50,000 for non-clinical FZ-LLCs. Newer rules set capital by segment, so confirm the figure on MASAAR for your activity. A branch has no minimum capital.

How long is the DHCC licence valid?

The commercial licence is valid for one year and renews annually.

Can I start operating after provisional approval?

No. A clinical facility must pass the pre-operational assessment and hold an operating licence before it operates.

Does a DHCC company pay 0% corporate tax?

Only if it qualifies as a Qualifying Free Zone Person and the income is Qualifying Income. Medical treatment of patients is not on the qualifying list, and transactions with individuals are an Excluded Activity, so most clinics are taxed under the standard regime.

Do DHCC companies need to register for corporate tax?

Yes. Free zone companies must register with the Federal Tax Authority and file annual returns, even if their taxable income is low.

Can doctors in DHCC get a long-term visa?

DHCC states that specialists in medical, scientific, research and technical fields can apply for 10-year residency visas. Eligibility rules apply, so check the current criteria.

Can I convert a DHCC branch into an FZ-LLC later?

Yes, but DHCC treats it as forming a new company, so plan the right structure from the start.

If your clinic will lease premises on the Dubai mainland instead of inside the free zone, it also helps to know how tenancy disputes are handled. Our sister site Yalah Dubai explains how to file a case at the Dubai Rental Disputes Center, including the official fees and documents.
