Masdar City Free Zone is one of the Abu Dhabi free zones built around clean technology, renewable energy, life sciences, AI and space technology. Founders in those sectors often ask the same three questions: what licence do I need, can I own 100% of the company, and will I really pay 0% corporate tax? This guide answers all three with the official position, and it flags the points where consultancy websites disagree with each other.

Quick Answer: Masdar City Free Zone Setup in 60 Seconds

What is it? Masdar City Free Zone is a free zone in Abu Dhabi that licenses companies in sectors such as renewable energy, clean tech and ICT, energy, healthcare services, service providers and regional headquarters.

Can foreigners own 100%? Yes. The free zone states that it offers 100% foreign ownership.

Which structures are available? A Free Zone Limited Liability Company (FZ-LLC), a branch of a foreign company, or a branch of a UAE company.

Is corporate tax 0%? Not automatically. A free zone company pays 0% only on qualifying income and only if it meets every condition of a Qualifying Free Zone Person (QFZP). Everything else is taxed at 9% on profit above AED 375,000 under the standard rules.

Can it trade in the mainland? Only through a dual licence approved with the Abu Dhabi Department of Economic Development (ADDED), or through a distributor or other mainland arrangement, and the tax effect must be tested first.

What Is Masdar City Free Zone and Who Is It For?

Masdar City is a sustainable-city development in Abu Dhabi, and its free zone licenses businesses that want to operate inside that ecosystem. The free zone’s own website lists high-impact industries such as life sciences, space technology, AI and energy. Its licence and registration page lists over 1,000 approved activities and names categories including:

  • Renewable energy
  • Clean tech and information and communication technology
  • Marketing and events
  • Human resources
  • Energy
  • Healthcare services
  • Service providers
  • Property development services
  • Regional headquarters, trading and holding companies
  • Business centre or data centre
  • Oil and gas services
  • Retail, food and beverage

The practical meaning: if your business is a technology start-up, an energy consultancy, an engineering services company, a research company or a regional holding entity, there is a realistic activity match. If you want to open a shop that serves walk-in customers across Abu Dhabi, a free zone is the wrong tool and a mainland licence fits better. See our guide to mainland company formation in Abu Dhabi through ADDED for that route.

Legal Structures Allowed

According to the free zone’s registration page, there are three structures.

Structure Separate legal entity? Typical use
FZ-LLC (Free Zone Limited Liability Company) Yes, owned by one or more shareholders Start-ups, operating companies, joint ventures
Foreign company branch No, extension of the parent Overseas groups entering the UAE
UAE company branch No, same legal identity as the parent UAE mainland or other free zone companies adding a Masdar presence

The free zone also describes the choice in plain terms: start-ups often prefer the FZ-LLC, while larger groups may find a branch easier for scaling. Some consultancy pages also use the older labels FZE (one shareholder) and FZC (multiple shareholders). Treat those as descriptions of the shareholder count, and confirm the exact legal form name that will appear on your licence before you sign anything.

FZ-LLC or branch: how to choose

  1. Liability. An FZ-LLC is a separate company, so its debts sit in that company. A branch has no separate legal personality, so the parent is exposed to branch obligations.
  2. Tax filing. An FZ-LLC registers for corporate tax in its own name. A branch of a foreign company is generally treated by the tax rules as a permanent establishment question for the parent, so get tax advice before choosing it.
  3. Documents. A branch of a UAE company needs the parent’s valid UAE trade licence and a board resolution approving the branch. A branch of a foreign company needs attested parent documents.
  4. Banking. Banks look at the parent for a branch and at the shareholders and activity for an FZ-LLC. Plan the bank file early either way.

Licence Types and Activities

Consultancy sites use different names for Masdar licences, which causes confusion. The free zone’s own materials describe licences by business activity and sector, and its blog describes the main categories as commercial, service, industrial and freelance permit. Whatever the label, the licence lists the specific activities you are allowed to carry out. Activities are subject to approval, and some regulated activities need extra permission from other Abu Dhabi authorities.

Licence category What it generally covers Watch out for
Commercial Trading and related commercial activities Import and export, customs and product rules
Service / professional Consulting, technology services, engineering services Professional qualifications for regulated professions
Industrial Manufacturing and processing Premises type and environmental approvals
Freelance permit Individual operators in permitted fields Limits on staff and activities

Do not rely on a package name alone. Check that the exact activity code you need, for example software development, energy consulting or equipment trading, is on the approved activity list for the package you choose.

Packages, Premises and Visas: What the Official Page Says

The free zone’s licence page shows package prices and visa allowances. These are the figures listed there when this guide was written:

Package Listed price Visa allowance listed
Startup 7,000 None listed
Innovation 12,000 2 visa quota
Business One 17,500 One free visa
Enterprise 27,000 3 visa quota

The page states that rates include 5% VAT except for leases, and that company registration can typically be completed within a few working days once documents are approved.

An important warning about conflicting numbers. Third-party consultancy pages quote different packages, for example one-activity, three-activity and six-activity bundles at different prices, and they disagree on whether an LLC needs a minimum capital of AED 50,000 or no minimum at all. Even the free zone’s own pages do not always list the same number of activities for the same package. Treat every figure above as a snapshot, and ask the free zone for a written quotation before you budget. We do not publish a single “total cost” here because it would only be correct on the day it is written.

Office space

The licence page says you must select an office solution based on visa eligibility and operational needs. The options include a virtual desk, a flexi desk, a dedicated desk and office space. Flexi desk leases require a refundable security deposit equal to two months’ rent. Because visa quotas depend on the premises type, decide how many people you will sponsor before picking a desk.

Step-by-Step Setup Process

The free zone lists these steps. Here they are with the practical points we see most often.

  1. Choose your business activity. Write down every activity you may do in the next two years. Adding activities later is possible, but each addition needs approval.
  2. Select your licence structure. FZ-LLC or branch, as above.
  3. Submit the application through the e-services portal, including name reservation. Choose a name that matches your brand and does not clash with a protected or restricted word.
  4. Provide documents and obtain approvals. Expect passport copies, application forms, business activity details and legal incorporation documents. Corporate shareholders usually add a certificate of incorporation, memorandum and articles, a board resolution and a certificate of good standing or incumbency. Documents issued abroad normally need attestation.
  5. Sign legal documents and receive your licence and registration certificate.
  6. Apply for visas and office space. Visa applications need the licence, a lease and the quota to be in place.
  7. Open a corporate bank account. The licence is not the finish line. Banks ask for business plans, source of funds and shareholder documents.
  8. Register for corporate tax. This is mandatory for free zone companies as well. See our guide to corporate tax registration for free zone companies on EmaraTax.

Dual Licence: Working in the Mainland From Masdar City

The free zone describes a dual licence as an option that lets a free zone company also operate on the mainland without setting up a separate branch. The conditions it describes are:

  • You apply through the free zone, and ADDED reviews the application.
  • You must already hold a valid free zone licence.
  • The activity must be permitted under both the free zone and mainland rules.
  • Some activities, such as healthcare, education and consultancy, may need additional approvals.

The licence question is only half of the answer. Mainland income changes your tax position, which is the next section. For the wider planning picture, read how free zone companies expand into the mainland and the comparison of mainland vs free zone tax in the UAE.

UAE Corporate Tax for a Masdar City Free Zone Company

This is the section that most consultancy pages oversimplify with the phrase “no corporate tax in a free zone”. That phrase is wrong for companies after the UAE corporate tax regime began. The correct statement is narrower.

The rule

A free zone company is taxed at 0% only on income that qualifies and only if it is a Qualifying Free Zone Person. Under Article 18 of Federal Decree-Law No. 47 of 2022, a QFZP must meet all of these conditions:

  1. Adequate substance. Core income-generating activities must be performed in the free zone with enough qualified staff and operating expenditure there. There is no fixed headcount or spend figure, so the test is one of facts and evidence. The FTA’s free zone guidance (CTGFZP1) explains the approach.
  2. Qualifying income only, or income within the de minimis limit. Qualifying activities are set by Ministerial Decision No. 229 of 2025, which replaces Ministerial Decision No. 265 of 2023 with effect from 1 June 2023.
  3. De minimis limit. Non-qualifying revenue must not exceed the lower of AED 5 million or 5% of total revenue (Ministerial Decision No. 82 of 2023).
  4. Audited financial statements. Required under Ministerial Decision No. 84 of 2025, by a UAE-licensed auditor, finalised before the return is filed.
  5. No election for the standard regime and transfer pricing compliance. Transactions with related parties must follow the arm’s length principle.

Rates at a glance

Income type Rate
Qualifying income of a QFZP 0%
Non-qualifying income above the de minimis limit 9%
Standard regime (not a QFZP) 0% up to AED 375,000, then 9% on profit above that

What happens if you fail one condition

If a QFZP fails any one condition, the 9% rate applies to all its income for that tax period and the following four tax periods, not only to the failing part. That is why substance and documentation matter more than the licence itself.

Worked example

Assume a Masdar City FZ-LLC provides software engineering services to a related free zone entity (qualifying) and also sells equipment directly to retail consumers in Abu Dhabi (not qualifying). Revenue is AED 20 million, of which AED 2.5 million is the retail sale. The de minimis cap is the lower of AED 5 million and 5% of AED 20 million, which is AED 1 million. The non-qualifying revenue of AED 2.5 million is above that cap, so the company loses QFZP status. In this example, 9% could apply to all taxable income for the current and next four periods. Redesigning the sales model before the year starts would have been far cheaper. This is an illustration only, so run your own numbers.

Activities that never qualify

Some activities are excluded from qualifying income altogether, such as transactions with natural persons (with a regulated financial services exception), banking, primary insurance, non-aircraft finance and leasing, and non-free-zone UAE property. Read our guide on excluded activities for free zone companies and the full list of qualifying activities under Ministerial Decision 229.

Cleantech examples: usually qualifying, sometimes not

Whether a cleantech business earns qualifying income depends on who the customer is and what the activity is, not on the sector label.

  • Likely to be tested as qualifying: services and transactions with other free zone persons, and activities that appear on the qualifying list in the Ministerial Decision, when carried out with substance in the free zone.
  • Often not qualifying: selling goods or services directly to individuals, or income from mainland customers that is not covered by the rules for designated zones or qualifying commodities.
  • Needs a careful look: group structures where a Masdar company invoices overseas affiliates, because transfer pricing documentation then becomes part of the QFZP test.

For the full conditions and examples, see our dedicated guides to QFZP status and the 0% rate and qualifying income.

Penalties to know about

Late tax payment attracts a monthly penalty under Cabinet Decision No. 75 of 2023, which is AED 500 per month on underpaid tax in the first year and AED 1,000 per month after that, as set out in the rules. Check the current FTA penalty table before relying on this figure.

Is Masdar City Free Zone a recognised free zone for QFZP?

QFZP status is available only to a juridical person in a free zone, and the zone must be a designated one under the relevant Cabinet decision. Before you commit, check the current official list and confirm in writing how your planned activity is treated. We have not relied on a third-party claim for this, and you should not either.

VAT and Other Compliance

Corporate tax is only one part of the compliance picture.

  • VAT. A free zone company that makes taxable supplies above the registration threshold must register for VAT like any other business. Designated zones can have special treatment for goods, but services are generally treated as normal supplies. Our guide on free zone VAT exemption in the UAE explains where the exemption applies and where it does not.
  • Audited accounts. A QFZP must have audited financial statements. Many free zones also ask for annual accounts at licence renewal.
  • Economic substance. The old economic substance regulations were abolished, but the QFZP substance test now does similar work. See what happened to the economic substance regulations.
  • Physical presence. Free zones can suspend licences when the required office is not maintained. See free zone office and physical presence rules.
  • Annual renewal. Licence renewal, lease renewal and visa renewals need their own calendar.

Common Mistakes to Avoid

  1. Assuming 0% tax on everything. The 0% rate applies to qualifying income of a QFZP only.
  2. Choosing the package by price alone. The activity list and the visa quota matter more than the headline price.
  3. Ignoring the de minimis test. A single large non-qualifying contract can move the whole company to 9%.
  4. Skipping the audit. A QFZP needs audited financial statements, and the audit must be finished before the return.
  5. Weak substance. A virtual desk with directors living overseas is a risk if the income depends on activity in the free zone.
  6. Not registering for corporate tax. Free zone companies must register too.
  7. Forgetting transfer pricing. Related-party pricing must be at arm’s length and documented.

Practical Checklist Before You Apply

  • Activity list written and matched to the free zone’s approved activities.
  • Structure decided: FZ-LLC or branch.
  • Shareholder documents ready and attested where needed.

  • Tax position tested against the five QFZP conditions.
  • Bank account plan and source-of-funds documents.
  • Calendar for corporate tax registration, VAT, audit and licence renewal.

What legal structures can I use in Masdar City Free Zone?

You can set up a Free Zone Limited Liability Company (FZ-LLC), a branch of a foreign company, or a branch of a UAE company. Some consultancy pages use the labels FZE and FZC for single and multiple shareholders.

Is there a minimum share capital?

Sources disagree. Some third-party pages say an LLC needs AED 50,000, while others say there is no mandated minimum. Ask the free zone for a written confirmation for your structure and package.

Do Masdar City Free Zone companies pay corporate tax?

Yes, they are taxable persons and must register. A company that qualifies as a Qualifying Free Zone Person pays 0% on qualifying income, and 9% applies to non-qualifying income above the de minimis limit. A company that is not a QFZP is taxed under the standard rules, with 9% on profit above AED 375,000.

What is the de minimis limit for non-qualifying income?

Non-qualifying revenue must not exceed the lower of AED 5 million or 5% of total revenue, as set out in Ministerial Decision No. 82 of 2023.

Can a Masdar City Free Zone company trade in the mainland?
