Shams, the Sharjah Media City Free Zone, is one of the better-known low-cost free zones in the northern emirates. It started as a home for media and creative businesses, but today its licence covers a wide range of service, trading and consulting activities, and it markets itself as an online-first zone where the licence can be issued in a short time. For a founder, the practical questions are always the same: what licence do I need, how many visas can I get, how long does it take, and what happens to my company under UAE Corporate Tax?
This guide answers those four questions. Every figure we state comes from Shams’ own website or from UAE federal tax law. Where Shams does not publish a number, we say so and tell you to ask Shams for a written quote, because third-party websites quote different prices for the same package and none of them should be treated as official.
Quick Answer: What Is the Shams Free Zone?
Shams (Sharjah Media City Free Zone) is a Sharjah free zone that issues 100% foreign-owned company licences, lets a licence combine up to five business activities, and advertises up to 50 visas per licence. Companies can be set up as an LLC or a branch. Shams states that licence terms run from 1 to 10 years, and that registration, payment and licence issue are done online.
On tax: a Shams company is a free zone company, not a tax-free company. It must register for UAE Corporate Tax, and it pays 0% only if it qualifies as a Qualifying Free Zone Person (QFZP) and earns Qualifying Income. Everything else is taxed at the standard 9% rate once taxable income passes AED 375,000.
Who Shams Suits Best
Shams fits businesses that work mainly online or for clients outside the UAE and do not need a large physical office:
- Consultants and agencies (marketing, design, IT, management consulting) serving overseas clients.
- Content creators, media and publishing businesses, the activity group the zone was built around.
- Holding or small trading companies that want a Sharjah licence with an owner-managed structure.
- Founders who want the UAE residence visa route without the cost profile of a Dubai mainland office.
It suits less well if your customers are mainly UAE mainland businesses. A free zone company can trade with the mainland, but as the tax section below explains, mainland sales can cost you the 0% rate.
Licence Types and Packages
The Shams website describes a single package line, “Standard Media”, in its cost calculator, and lets you choose licence terms of 1, 2, 3, 4, 5 or 10 years. Other sources describe separate service, trading, industrial and holding licence categories. Because Shams’ public pages do not show an itemised licence schedule, treat the table below as a guide to what to ask for, not as a price list.
| Item | What Shams publishes | What to confirm with Shams |
|---|---|---|
| Legal form | LLC or branch | Which form your shareholders and bank prefer |
| Business activities | Up to 5 per licence | Exact activity codes, and whether any need a separate approval |
| Licence term | 1, 2, 3, 4, 5 or 10 years | Cost difference between a 1-year and multi-year term |
| Visas | Up to 50 per licence | The quota for your chosen office or desk type |
| Office | Co-working space with lease agreement listed as a cost line | Whether your bank and the Federal Tax Authority accept it as your substance |
| Company name | Business name check available online | Whether “FZ” is required in the name (Shams says LLCs can register without it) |
Shams’ calculator shows only estimates, and says that prices provided are estimates. Medical costs for visas are paid directly to the medical centre. We do not quote consultant or package prices in this article. Ask Shams for a written quote that lists the licence fee, registration fee, each visa fee and the office cost separately.
Visa Quota: How Many Visas Can a Shams Company Get?
Shams advertises “up to 50 visas per licence”. The number you can actually use depends on the office or desk you lease. Websites that compare Shams packages describe entry-level tiers of 0, 1, 6, 12 and 20 visas, and some describe 0 to 6 on the cheapest options. These tiers are third-party descriptions and do not match each other, so do not plan headcount from them. Plan from a written quote.
When thinking about visas, remember three points:
- Investor visa and employee visa are separate lines. Shams’ calculator asks for them separately.
- Visa status changes are processed in the UAE. If the applicant is already in the country, a change of status is used instead of an entry permit.
- Residence visas are federal. Whichever free zone sponsors you, the residence visa itself sits inside the federal immigration system, so your ID, medical and biometric steps follow the usual UAE process. Step-by-Step Setup Process
The Shams website describes an online flow. In plain order:
- Check the company name. Use the business name check on the Shams website.
- Choose up to five activities. Pick the main activity first. If an activity needs a regulator’s approval (for example financial, medical or educational), ask Shams before paying anything.
- Estimate the cost. Use the calculator for an estimate, or request a call from Shams.
- Choose structure and term. LLC or branch, and 1 to 10 years.
- Register, pay and receive the licence online. Shams advertises licence issue in under 60 minutes once the application is complete. Treat this as the best case, not a promise: it assumes your documents, activities and name are all clean.
- Lease the office or desk. The co-working space with lease agreement is listed as a calculator cost line.
- Apply for visas and Emirates ID. After the licence and office are in place, process the investor and employee visas.
- Open a bank account and register for Corporate Tax. Do not delay the tax registration; see the section below.
Documents you should prepare
- Valid passport copies for every shareholder and manager.
- Recent passport-size photographs.
- Proof of address for shareholders (for corporate shareholders, the incorporation documents of the parent company).
- Activity details, and any prior approval if the activity is regulated.
Shams or its authorised agent may ask for more. Always follow the checklist Shams sends you, not a generic list.
Corporate Tax Position of a Shams Company
This is where many founders get surprised. A free zone licence does not mean zero tax. Under Federal Decree-Law No. 47 of 2022 on the Taxation of Corporations and Businesses, every juristic person with a licence must register with the Federal Tax Authority (FTA), including free zone companies. Cabinet Decision No. 100 of 2023 then sets out when a free zone person can be a Qualifying Free Zone Person.
The basic rule
| Situation | Corporate Tax result |
|---|---|
| QFZP earning Qualifying Income | 0% |
| QFZP earning non-qualifying income | 9% on the taxable amount above the AED 375,000 threshold |
| Free zone company that is not a QFZP | 9% on taxable income above AED 375,000 |
What a company usually needs to be a QFZP
A free zone company has to meet every condition, not just some. In outline:
- It maintains adequate substance in the free zone: real people, premises and decision-making that match the activity.
- It derives Qualifying Income, as defined by the Cabinet and Ministerial Decisions.
- It meets the de minimis test, so non-qualifying revenue stays within the permitted limit (the lower of 5% of total revenue or AED 5,000,000).
- It keeps audited financial statements.
- It has not elected to be taxed at the standard rate.
- It complies with transfer pricing rules.
For the full explanation, read our guide to the Qualifying Free Zone Person regime and our explanation of what counts as Qualifying Income.
Qualifying activities and excluded activities
The list of qualifying activities is in Ministerial Decision No. 265 of 2023, as amended, and the 2025 changes are covered in our post on Ministerial Decision No. 229 of 2025. Some activities are excluded from the 0% regime, such as transactions with natural persons and certain real estate and banking activity. See our list of free zone excluded activities.
What this means for a Shams company in practice
- A consultant billing only overseas clients may have Qualifying Income if the activity is a qualifying one and the other tests are met. Do not assume. Check the activity against the decision.
- A company selling to UAE mainland customers can have non-qualifying income. That income can both be taxed at 9% and, if it passes the de minimis limit, cost the company its QFZP status for the period.
- A company with no real presence in Sharjah has a substance problem. A licence and a desk that nobody uses will not look like adequate substance.
We do not state that Shams companies “qualify” in general. Sharjah is not treated differently in the law: the same tests apply in every UAE free zone. Our companion posts on the Sharjah Publishing City free zone, Hamriyah Free Zone and SAIF Zone show how the same tax tests apply there.
Corporate Tax registration
Register on the FTA’s EmaraTax portal. Our guide to free zone Corporate Tax registration on EmaraTax walks through the steps. Late registration carries an administrative penalty of AED 10,000, so register as soon as the licence is issued, even if you expect to pay no tax.
VAT
Free zone companies are in the same VAT system as mainland ones unless the premises is a Designated Zone, which is a specific legal category. Do not assume your Shams office is a Designated Zone. See our post on free zone VAT before you invoice.
Shams Compared With Other Free Zone Options
| If you need | Consider |
|---|---|
| Lowest-friction online licence for consulting or media work | Shams |
| Publishing and creative activities in Sharjah | Sharjah Publishing City |
| Warehousing, light industrial space | Hamriyah or SAIF Zone |
| Direct trading with UAE customers | A mainland company |

Common Mistakes to Avoid
- Paying for a package before confirming the activity is allowed. Regulated activities need approval first.
- Counting visas from a third-party table. Use only the written quote from Shams.
- Assuming 0% tax. The 0% rate is a status you must earn and prove each year.
- Selling to mainland customers without modelling the tax. Run the de minimis test before the first invoice.
- Forgetting substance. A licence is not the same as presence.
- Missing the registration deadline. The AED 10,000 penalty applies for late Corporate Tax registration.
Frequently Asked Questions
What is the Shams free zone?
Shams is the Sharjah Media City Free Zone. It issues company licences to foreign-owned businesses, lets a licence include up to five activities, and offers up to 50 visas per licence according to its own website.
Can a foreigner own 100% of a Shams company?
Yes. Shams states that it offers company structures including LLCs and branches, and free zone companies in the UAE can be fully foreign-owned. Confirm shareholder requirements with Shams for your structure.
How long does Shams licence issue take?
Shams advertises licence issue in under 60 minutes on its website. That is a best-case figure for a complete, clean application. Visa, Emirates ID and bank steps take additional time.
How many visas can a Shams company get?
Shams advertises up to 50 visas per licence. The number available to your company depends on the office or desk you lease, so ask for the quota in writing.
Does a Shams company pay Corporate Tax?
It must register, and it pays 9% on taxable income above AED 375,000 unless it qualifies as a Qualifying Free Zone Person. A QFZP pays 0% on Qualifying Income only.
Can a Shams company be a Qualifying Free Zone Person?
It can, if it meets every condition: adequate substance, Qualifying Income, the de minimis test, audited financial statements, no election for standard tax, and transfer pricing compliance. The law does not give Sharjah free zones special treatment.
Can a Shams company sell to UAE mainland customers?
It can trade, but income from mainland customers is generally not Qualifying Income unless a specific rule allows it. It can be taxed at 9% and can threaten QFZP status if it passes the de minimis limit.
Do I need audited accounts?
A QFZP must keep audited financial statements. Check with an auditor early, because audit scope depends on your accounting records.
When must a Shams company register for Corporate Tax?
Register on EmaraTax as soon as the licence is issued. Late registration carries an AED 10,000 administrative penalty.
Can I change the activities on my licence later?
Shams says a licence can combine up to five activities. Ask Shams about the amendment process and any approvals needed before you add a regulated activity.
